Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Catalyst AI & Tech, LLC, a limited liability company organized under the laws of the State of Delaware, USA ("Catalyst," "we," "us," or "our"). They govern your access to and use of the Catalyst marketplace and landing pages at https://catalystai.llc, our learning platform at https://learning.catalystai.llc, and any related webinars, community, or B2B/organizational services (together, the "Platform").

Please read these Terms carefully. They contain important provisions on acceptable use, anti-piracy obligations, refunds, limitations of liability, and dispute resolution.

1. Acceptance of Terms

By doing any of the following, you acknowledge that you have read, understood, and agree to be bound by these Terms:

  • Purchasing a program, bundle, or seat through the marketplace or a checkout page;
  • Registering for a webinar, waitlist, or pre-order;
  • Accepting an emailed invitation to the learning platform or completing onboarding there; or
  • Otherwise accessing or using any part of the Platform.

If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility & Accounts

  • Adults only. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to purchase from or use the Platform.
  • One person per seat. Each purchased seat/account is for a single individual and may not be shared, co-used, or operated by more than one person, except where an organization purchases multiple named seats under a B2B agreement.
  • Accurate information. You agree to provide accurate, current, and complete information when registering, purchasing, or onboarding, and to keep it up to date.
  • Credential security. You are responsible for safeguarding your login credentials and for all activity under your account. Notify support@catalystai.llc immediately of any unauthorized use.

3. Access Is Personal and Non-Transferable

When you purchase a program, you receive an emailed invitation to the learning platform, set a password, and complete onboarding to activate your access.

Subject to your compliance with these Terms and payment of all fees, Catalyst grants you a limited, personal, non-transferable, non-sublicensable, revocable license to access and view the program content you have purchased, solely for your own individual, non-commercial educational use. You may not:

  • Transfer, assign, lend, rent, lease, sell, or sublicense your account or access to any program content;
  • Permit any other person to access the Platform or any content through your account; or
  • Use the content for any commercial purpose, including teaching or training others or operating a competing service.

All rights not expressly granted to you are reserved by Catalyst.

4. Payments, Billing & Refunds

  • Purchases are made through the marketplace or a course-specific checkout page; prices are payable in full (or per an approved installment plan) at the time of purchase unless otherwise specified.
  • Payments are processed by third-party payment processors (Kashier and Stripe); we do not store your full payment card number.
  • Stated prices may exclude applicable taxes, which are your responsibility unless indicated otherwise.
  • Refund policy: You may request a refund by emailing refunds@catalystai.llc (or messaging our WhatsApp support line) within thirty (30) calendar days of the date of purchase. There is no viewing limit - how much of the program you have watched does not affect your eligibility. A request made more than 30 days after the date of purchase is not eligible and will not be granted, including at our discretion.
  • Bundles & multi-course purchases: the 30-day window runs from the date of the bundle purchase and covers every course included in it.
  • Pre-order programs: you may cancel for a full refund at any time before the program's stated content-release date. The 30-day rule above applies from the content-release date onward.
  • Installment plans: a refund request under this Section stops future installments and refunds installments already paid, subject to the same 30-day eligibility. Missed installment payments may result in suspension of access per your installment agreement.

NO REFUNDS FOR VIOLATIONS. Notwithstanding the above, no refund of any kind will be issued where your access has been suspended, terminated, or banned for violation of these Terms - including any violation of the Acceptable Use & Anti-Piracy section below. In such cases you forfeit all fees paid and any remaining access.

5. Acceptable Use & Anti-Piracy

This Section is a material term of these Terms. Violating it can result in immediate, permanent loss of access with no refund, and may expose you to civil and criminal liability.

The Platform and its content are protected by copyright and other laws and made available under a strictly limited personal license. You agree that you will NOT, directly or indirectly:

  • Record or capture content - screen record, screen capture, screen-cast, photograph, film, or otherwise reproduce any video, lesson, audio, document, or code, in whole or in part, by any means now known or later developed.
  • Download or circumvent controls - download, scrape, or extract content except where an explicit download function is provided; or bypass, disable, remove, or circumvent any access control, encryption, DRM, watermark, or other technological protection measure.
  • Share accounts or credentials - share, disclose, or transfer your account, password, or login credentials, or allow any other person to access the Platform through your account.
  • Share access links - share, post, or distribute any invitation link, playback link, embed link, signed URL, or access token.
  • Resell or re-stream - resell, redistribute, rebroadcast, re-stream, sublicense, publicly perform or display, or otherwise make available any content to any third party.
  • Conduct group viewing on a single license - each viewer requires their own purchased seat.

Monitoring and forensic watermarking. You acknowledge and agree that Catalyst employs monitoring of Platform activity and applies per-user forensic watermarking to content. Your activity - including content access, playback, and account usage - is logged and monitored, and watermarks may embed information that uniquely identifies your account in the content you access, enabling Catalyst to trace any leaked, copied, or redistributed material back to the responsible account.

Consequences of violation. If we determine, in our sole discretion, that you have violated this Section, we may, with or without notice: immediately suspend or terminate your account and all access; permanently ban you from the Platform and future purchases; cause forfeiture of all fees paid with NO REFUND; and pursue all available legal remedies.

You further acknowledge that any violation may expose you to civil and criminal liability and legal action, including claims for copyright infringement and breach of contract, and that Catalyst may seek injunctive relief and recovery of damages, statutory damages, disgorgement of profits, and its attorneys' fees and legal costs. Where evidence of criminal conduct exists, Catalyst may refer the matter to law enforcement.

6. Intellectual Property

All content on or through the Platform - including programs, videos, lessons, text, graphics, images, audio, code samples, exercises, assessments, designs, logos, trademarks, software, and the Platform itself - is owned by Catalyst AI & Tech, LLC or its licensors and protected by United States and international intellectual property laws. Except for the limited license in Section 3, no right, title, or interest in any content is transferred to you.

7. Copyright Complaints (DMCA)

Catalyst AI & Tech, LLC respects the intellectual property rights of others and responds to clear notices of alleged copyright infringement. If you believe material on the Platform infringes your copyright, send a written notice to support@catalystai.llc (subject line "DMCA Notice") containing: (a) a physical or electronic signature of the rights holder or an authorized representative; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and information reasonably sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on the rights holder's behalf.

We may remove or disable access to material identified in a compliant notice, notify the affected user, and, for repeat infringers, terminate accounts in appropriate circumstances. A user who believes content was removed in error may submit a counter-notice to support@catalystai.llc; we will process it as required by law.

8. User Content

The Platform may let you submit information and materials - profile information, onboarding responses, community posts, comments, and direct messages ("User Content").

  • You are solely responsible for your User Content and represent that you have all necessary rights to submit it and that it violates no law or third-party right.
  • You grant Catalyst a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and use your User Content solely to operate, provide, secure, and improve the Platform.
  • You must not submit User Content that is unlawful, infringing, defamatory, harassing, hateful, obscene, fraudulent, or that contains malware. We may remove content that violates these Terms.

9. Monitoring & Enforcement

Catalyst reserves the right, but assumes no obligation, to monitor activity and User Content; to investigate suspected violations; and to suspend, restrict, or terminate accounts in connection with such investigations or violations. We may cooperate with law enforcement and respond to lawful requests for information.

10. Disclaimers

THE PLATFORM AND ALL CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, CATALYST DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

No guarantee of outcomes. Catalyst provides educational content only and does not guarantee any job, internship, employment, salary, promotion, certification, or job placement. References to careers, hiring partners, or job-matching describe opportunities that may be offered and are not promises of employment.

11. Limitation of Liability & Indemnification

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL Catalyst AI & Tech, LLC OR ITS OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM. CATALYST'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PROGRAM GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.

Indemnification. You agree to indemnify, defend, and hold harmless Catalyst and its officers, members, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms (including Section 5), your User Content, or your violation of any law or third-party right.

12. Termination

You may stop using the Platform at any time. We may suspend or terminate your account and access at any time, including for any violation of these Terms. Upon termination, your license to access content ends immediately. Termination for a violation does not entitle you to any refund. Sections that by their nature should survive termination will survive.

13. Changes to Terms

We may update these Terms from time to time. For material changes we will update the Effective Date and may provide additional notice through the Platform or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.

14. General Provisions

  • Severability. If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Entire agreement. These Terms, together with our Privacy Policy, our Refund Policy, and any order confirmation for a specific purchase, constitute the entire agreement between you and Catalyst regarding the Platform and supersede any prior agreements on the subject.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including internet or hosting-provider outages, natural disasters, war, or governmental action.
  • Export control & sanctions. You represent that you are not located in, and are not a national or resident of, any country subject to a comprehensive U.S. embargo, and are not on any U.S. government restricted-party list. You agree not to access or use the Platform in violation of any U.S. export control or economic sanctions law.
  • Electronic communications. You consent to receive notices, disclosures, and agreements electronically, including by email, WhatsApp, or through the Platform, and agree that electronic delivery satisfies any legal requirement that such communications be in writing.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and you consent to personal jurisdiction and venue there. To the extent permitted by law, disputes will be resolved on an individual basis and you waive any right to participate in a class or representative action. Nothing here limits Catalyst's right to seek injunctive relief to protect its intellectual property or enforce Section 5.
